What happens when an LP wants out.

Send your LP to us. You decide who buys, who sees what, and when.

We handle the admin.

Send your LP to us. We take the calls, the questions and the paperwork, and a registered dealer sources vetted buyers. You don’t fund anything.

You decide who sees and who buys.

Nothing moves without you. You approve who sees the details, then who buys, and you can block anyone.

It stays private.

Only you, your LP, the buyer you approved and our team are in the room. Nothing is listed, and your other LPs only hear what your LP agreement requires.

How it works

From your documents to a closed transfer.

Upload your documents.

Your LP agreement, the subscription agreement, the OM if there is one, and your latest appraisal and investor report. We read them and pull out what matters for a transfer.

A registered dealer shows vetted buyers an anonymous teaser.

Only KYC’d, accredited buyers who fit the position, and never anyone you’ve blocked.

You approve who sees the details, then who buys.

Two approvals. Seeing the details never commits you to a sale.

It closes through your lawyer.

The agreements are signed, the money moves, and your new LP takes the seat. The transfer closes the way it does today.

An exit makes the next raise easier.

Investors commit faster when they know there’s a way out. RealtyRails gives your LPs an answer to “what if I need my money back?” before they ask.

Questions sponsors ask us.

What if my LP agreement gives existing LPs first refusal?

We read your agreement first. If there’s a right of first refusal, your LPs get the first look, without learning who’s selling.

Does the sale price affect how my other LPs’ units are valued?

No. Transfer prices stay private. They aren’t published or shared with your other LPs.

Can my LP sell only part of their position?

Yes. They can sell some or all of their units, within any minimums your LP agreement sets.

What if the deal isn’t performing well?

That’s when discretion matters most. Buyers see the same appraisal and reports any LP would, and nobody else learns a position changed hands.

What does my LP have to do?

Very little. They tell us what they hold and what they’d accept. We handle their questions and coordinate the paperwork with your lawyer. Buyer checks go through a registered dealer.

What if two of my LPs want out at the same time?

We handle each one separately, and neither learns about the other.

Have an LP who wants out? Let’s talk.

20 minutes. We’ll walk through the position and how a transfer would work.
